Welcome to Panelo.ai ("Service", "Platform"), operated by Panelo Pty Ltd ("Company", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Description of Service

Panelo.ai is an AI-powered engineering drawing management platform designed for the precast concrete industry. The Service provides tools for managing engineering drawings, production planning, quality assurance, delivery coordination, consulting workflows, and related features across subscription tiers (Free, Essentials, Standard, Professional).

2. Account Registration and Security

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials, including passwords, two-factor authentication (2FA) codes, and magic link access.
  • You must notify us immediately of any unauthorized use of your account.
  • You must be at least 18 years of age to create an account.

3. Subscription Plans and Payment

  • The Service is offered under tiered subscription plans. Features and usage limits vary by plan.
  • Subscription fees are billed in advance on a recurring basis (monthly or annually).
  • We reserve the right to modify pricing with 30 days' prior notice.
  • Refunds are handled in accordance with applicable law. No partial-month refunds are provided for cancellations.
  • Usage-based features (e.g., AI consultations, credits) are consumed according to your plan's allocation and do not roll over unless explicitly stated.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Upload, transmit, or store any content that infringes intellectual property rights of third parties.
  • Attempt to gain unauthorized access to other users' accounts or company data.
  • Interfere with or disrupt the Service's infrastructure, including through automated scraping, denial-of-service attacks, or reverse engineering.
  • Share account credentials or allow unauthorized individuals to access your account.
  • Use the Service to transmit unsolicited commercial communications (spam).

5. Intellectual Property

  • Your Content: You retain ownership of all drawings, documents, and data you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display it solely for the purpose of providing the Service.
  • Our Content: The Service, including its software, design, logos, and documentation, is owned by Panelo and protected by intellectual property laws. You may not copy, modify, or distribute our content without prior written consent.
  • AI-Generated Content: Reports, annotations, and suggestions generated by the Service's AI features are provided as tools to assist your workflow. You are responsible for reviewing and validating all AI-generated output before relying on it for engineering decisions.

6. Email Communications

By using the Service, you consent to receive the following types of transactional emails:

  • Account & Security: Registration confirmations, email verification, login notifications, two-factor authentication codes, magic link access, and password reset requests.
  • Workflow Notifications: Consultation requests, consultation assignments, status updates, consultation completion notices, and project activity alerts.
  • Documents & Reports: AI-generated PDF reports, engineering report deliveries, and scan-to-email notifications.
  • Administrative: Subscription changes, billing receipts, usage alerts, team invitations, and service announcements.

These are transactional emails essential to the operation of the Service. You may manage notification preferences in your account settings, but certain security and account-related emails cannot be opted out of.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your information.

8. Service Availability and Support

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
  • Scheduled maintenance windows will be communicated in advance where possible.
  • Support is provided according to your subscription plan level.

9. Limitation of Liability

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • Panelo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
  • Engineering Disclaimer: The Service provides tools and AI-assisted features to support engineering workflows. It does not replace professional engineering judgment. All drawings, calculations, and reports must be reviewed and approved by qualified professionals before use in construction or manufacturing.

10. Termination

  • You may terminate your account at any time through your account settings.
  • We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with reasonable notice.
  • Upon termination, your data will be retained for 30 days to allow for export, after which it may be permanently deleted.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to conflict of law principles.
